By accessing or using the FreightCMD platform ("FCMD", "we", "us") you agree to these Terms. If you do not agree, do not use the platform. These Terms apply to every role that interacts with FCMD — tenant fleet operators, tenant team members, individual drivers on the Connect marketplace, shippers (business and consumer), and end-recipients of freight.
1. Eligibility & accounts
You must be at least 18 years old and authorised to act for your organisation. You are responsible for all activity under your account and for keeping credentials secure. Drivers on the FCMD Connect marketplace must additionally complete identity verification (NIC, driving licence, vehicle documents) before their first paid trip; incomplete profiles are limited to browsing.
2. Service description — two products
FreightCMD is not a carrier. Actual transport is performed by tenants and their drivers. FCMD offers two distinct products under one platform:
- Management OS — subscription software used by a tenant fleet operator to run their own business (dispatch, live tracking, driver payroll, invoicing, wallet, COD reconciliation, analytics). The tenant's own shippers are billed by the tenant; FCMD collects a small platform surcharge (0.5%) on transacted amounts to cover payments, escrow and infrastructure. Fleet drivers on this product are employees of the tenant and do not earn a per-trip commission from FCMD.
- FCMD Connect — an on-demand marketplace where independent shippers post trips and independent (or tenant) drivers accept them. FCMD is the merchant of record for the shipper payment, deducts a marketplace commission (default 7%, configurable per vehicle class), and remits the remaining share (~93%) to the fulfilling driver / tenant wallet.
3. Quotes, deadhead surcharge & pricing
Quotes are computed live from vehicle-class base fare, per-km rate, wait charges, current fuel price and configured pricing rules. Because a carrier must drive from its origin to the pickup point and, once delivered, return an empty vehicle from the drop, every quote includes a deadhead surcharge — a flat percentage (default 15%) of the loaded trip distance — added to the shipper price. The shipper pays for the one-way loaded trip plus this surcharge; they never pay for two full return legs.
Every accepted quote is snapshotted (base + distance + wait + deadhead + platform surcharge + payment-method fee + commission for Connect) and shown to the shipper before checkout. If material inputs (fuel, distance, cargo weight) change before dispatch the quote is re-computed and the shipper is notified to re-accept.
4. Subscriptions, trials & billing
The Management OS product is sold as a monthly subscription across the Starter, Growth and Enterprise plans. A 7-day free trial is available on the Starter and Growth plans only; the Enterprise plan is not offered on a free trial. A trial is not a paid subscription and confers no purchased entitlement.
- Sri Lankan workspaces are billed in LKR via PayHere; other regions are billed in USD via Stripe.
- Subscriptions renew automatically each month until cancelled.
- Upgrades take effect immediately and are prorated for the remainder of the current billing period; downgrades take effect at the end of the current period.
- Converting from a trial to a paid plan starts a new billing period and is charged in full for the chosen plan.
- Late or failed payments may suspend access until the balance is settled. The platform automatically retries failed charges before suspending.
5. Wallets, escrow & payouts
Every tenant and every marketplace driver has an in-platform wallet. FCMD Connect payments are held in escrow until the trip is marked delivered and, where applicable, the shipper's Proof-of-Delivery code has been redeemed. On release, the driver / tenant wallet is credited with their share (~93% for Connect; 100% less the 0.5% platform surcharge for Management OS card / bank flows).
- Payout mode is configurable per tenant — instant (fee applies) or weekly batch (free). Instant payouts incur a 1.0% platform fee on the payout amount.
- Fuel float: on trip assignment FCMD may credit a fuel prepayment to the assigned driver's wallet (fleet drivers, and Connect drivers with 5+ completed trips and verified KYC). At delivery the actual fuel cost is reconciled against the float; any unused amount is clawed back to the tenant / FCMD.
- Cash-on-Delivery (COD): drivers who collect COD hold funds on behalf of the tenant until handover. A 1.5% cash-handling fee applies to COD amounts reconciled through the platform.
- Top-ups: verified wallet top-ups (card + bank slip) incur a 0.5% fee.
- Every wallet mutation is written to an immutable audit log. FCMD runs nightly automated reconciliation; flagged mismatches are resolved by our operations team.
6. Trip P&L visibility
FCMD computes and stores a per-trip profit-and-loss snapshot (revenue, fuel, deadhead cost, driver pay, tolls, platform fees, gross margin) on delivery. Tenants can see the P&L for their own trips; FCMD platform administrators can see P&L across all trips for support and fraud purposes. Shippers only see the trip price and payment breakdown.
7. Acceptable use
- No unlawful, hazardous or restricted cargo without the proper permits.
- No attempts to break, probe or overload the platform.
- No misuse of GPS data or other users' information.
- No off-platform side-payments to circumvent FCMD Connect commission on trips originated through the marketplace.
- No fraudulent COD reporting, PoD tampering, or falsified fuel / odometer entries.
8. Liability
The platform is provided "as is". To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages. Our total liability for any claim is limited to the fees you paid us in the prior three months.
9. Termination & suspension
You may close your account at any time. We may suspend or terminate access for material breach of these Terms or for non-payment. On suspension, active trips already accepted are allowed to complete; wallet balances remain owed to you subject to reconciliation and any lawful set-off.
10. Governing law
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Disputes will be resolved in the courts of Colombo.
